1. Acceptance of Terms

By registering for, accessing, or using the TelBuddy platform ("Service"), you agree to be bound by these Terms of Service ("Agreement"). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree, you must immediately stop using the Service.

2. Nature of Service & Twilio Dependency

TelBuddy is a software interface ("wrapper") designed to facilitate the use of Twilio's API services. TelBuddy is not a telecommunications carrier.

Dependency: Our Service relies entirely on the availability and functionality of third-party services, specifically Twilio Inc. and mobile network carriers.
No Guarantee: We do not guarantee the delivery of messages or calls. Delivery is subject to carrier filtering, network availability, and Twilio's operational status.
Liability Disclaimer: TelBuddy is not liable for any delays, delivery failures, or data loss resulting from third-party service interruptions or carrier blocking.

3. Compliance & Acceptable Use (Anti-Spam)

You agree to use the Service in strict compliance with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and the Can-Spam Act.

You explicitly agree NOT to:

Send unsolicited marketing messages (spam) to anyone who has not provided express written consent.
Use the Service for harassment, fraud, phishing, or illegal activities.
Attempt to bypass carrier filtering mechanisms.

Violation Policy: TelBuddy reserves the right to immediately suspend or terminate any account suspected of violating these rules without a refund.

4. User Account & Security

You are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activities that occur under your account, including any sub-accounts or resellers you create. You agree to notify TelBuddy immediately of any unauthorized use of your account.

5. Fees, Payments & Credits

Subscriptions: Service is billed on a subscription basis. Payments are non-refundable.
Usage Credits: SMS and Voice services require pre-purchased credits. These credits have no cash value and are non-transferable.
Rate Changes: TelBuddy reserves the right to adjust per-message or per-minute rates at any time based on underlying carrier cost changes.

6. Indemnification

You agree to defend, indemnify, and hold harmless TelBuddy, its officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

Your violation of any term of this Agreement.
Your violation of any third-party right, including any copyright, property, or privacy right.
Any claim that your content or messaging caused damage to a third party.
Your violation of the TCPA or other telemarketing laws.

7. Limitation of Liability

In no event shall TelBuddy be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

10. Opt-in Messaging

If you opt in to SMS, you agree to receive transactional messages related to your TelBuddy account (including security/2FA codes, billing/subscription notices, and support). Message frequency varies. Message & data rates may apply. Reply STOP to opt out and HELP for help. We do not send marketing or promotional SMS.
